TERMS OF SERVICE

◆1. Acceptance of Terms

By accessing and using the services provided by Mdaka Advanced Technologies ("MdakaTech", "we", "us", or "our"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

◆2. Services

MdakaTech provides web development, mobile application development, AI integration, UI/UX design, cloud architecture, and cybersecurity services. The specific scope of services will be defined in individual project agreements or statements of work.

◆3. Intellectual Property

Upon full payment of agreed fees, clients receive ownership of the final deliverables as specified in the project agreement. MdakaTech retains the right to display completed work in its portfolio unless explicitly agreed otherwise in writing. All pre-existing tools, frameworks, and methodologies remain the property of MdakaTech.

◆4. Payment Terms

Payment terms are outlined in individual project contracts. Standard terms require a deposit before work commences, with the balance due upon project completion. MdakaTech reserves the right to suspend or terminate services for non-payment. Late payments may incur interest charges as specified in the project agreement.

◆5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This includes business strategies, technical architectures, customer data, and any other information designated as confidential. This obligation survives the termination of any agreement.

◆6. Limitation of Liability

MdakaTech's liability is limited to the total fees paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages. We do not guarantee uninterrupted or error-free operation of any software or systems we develop.

◆7. Warranties

MdakaTech warrants that services will be performed in a professional and workmanlike manner. We provide a 30-day bug-fix warranty after project delivery. This warranty covers defects in functionality as specified in the original project scope and does not cover new feature requests or changes in requirements.

◆8. Termination

Either party may terminate a project agreement with 30 days' written notice. Upon termination, the client will be invoiced for work completed to date. MdakaTech may immediately terminate services if the client breaches these terms or engages in illegal activities.

◆9. Governing Law

These Terms of Service are governed by the laws of the Republic of South Africa. Any disputes arising from these terms shall be subject to the jurisdiction of South African courts. We encourage resolution through mediation before pursuing legal action.
